2. License and description of the Service

The Service is a cloud-based platform that helps accounting and bookkeeping firms manage their clients’ books, workflows, documents, and communications, and optionally connect to third-party accounting systems such as QuickBooks Online. Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

3. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current. You are responsible for ensuring that you have the necessary rights and authorizations to connect and process your clients’ data through the Service.

4. Acceptable use

You agree not to:

5. Third-party services and QuickBooks Online

The Service integrates with third-party services, including Intuit QuickBooks Online. When you connect a client’s QuickBooks Online company, you authorize us to access and process accounting data on your behalf as described in our Privacy Policy. Your use of QuickBooks Online and other third-party services is subject to their own terms and policies, and we are not responsible for those services. You represent that you are authorized to connect each company you link to the Service.

6. Intellectual property

The Service, including its software, design, and content (excluding your data and your clients’ data), is owned by us or our licensors and is protected by intellectual-property laws. Except for the license granted above, no rights are transferred to you. You retain all rights to the data you and your clients provide.

7. Data and privacy

Our collection and use of information is described in our Privacy Policy. You are responsible for the accuracy and legality of the data you process through the Service and for obtaining any consents required from your clients.

8. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data displayed (including data retrieved from third-party systems such as QuickBooks Online) is accurate, complete, or current. The Service is a tool and is not a substitute for professional accounting, tax, or legal advice.

9. Limitation of liability

To the maximum extent permitted by law, in no event will Bliss or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or related to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Bliss and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your data, or your violation of this Agreement or applicable law.

11. Term and termination

This Agreement remains in effect while you use the Service. You may stop using the Service and disconnect any linked accounts at any time. We may suspend or terminate your access if you violate this Agreement or if necessary to protect the Service or other users. Upon termination, the license granted to you ends; provisions that by their nature should survive (including Sections 6, 8, 9, and 10) will survive.

12. Governing law

This Agreement is governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. The state and federal courts located in Ventura County, California will have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to this Agreement

We may modify this Agreement from time to time. We will post the updated version with a new effective date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.
